Recently many bosses came and asked me the same question :
“Mr Koh, company no longer doing business already, can I just strike off only ah?”
It sounds simple.

But this is exactly where many SME bosses get stuck.
Because a company does not disappear just because you stopped using it.
You may think no business already, no staff already, no invoice already, so can just close company.
But once you really check, then only you realise :
Tax return not fully submitted yet
Something with LHDN still not settled
EPF or SOCSO still got loose ends
Director current account still got balance
Sometimes even tax refund not received yet
So I always tell bosses :
A Sdn Bhd that is no longer doing business may be suitable for strike off, but only if it is properly cleaned up first.
That means :
Accounts cleared
Tax matters cleared
Staff matters cleared
Government balances cleared
Otherwise, on the surface, it looks like you are closing the company.
But actually, you are starting one more headache.
If you have a dormant company, an inactive company, or a Sdn Bhd you no longer want to use, do not rush to file first.
First review.
First check properly.
First clear all the loose ends.
Because closing a company is easy to say.
Closing it cleanly is the real work.
