Since Malaysia started implementing Capital Gains Tax (CGT), I noticed many SME bosses have one very natural assumption:

“Now got CGT already, so if sell asset, all should be under the same tax system, right?”

Actually, not so.
Malaysia still separates it very clearly:

Sell real property itself … normally it still falls under Real Property Gains Tax (RPGT)
Sell shares in a real property company (RPC shares) … then CGT may need to be considered

This difference is not a small matter.

Because once the classification is wrong, the consequences can be very real:

… wrong tax rate used
… wrong form filed
… correct filing procedure missed
… and in the end, possible penalties and interest

Many bosses think this only affects big groups or big property developers.

Actually, many SMEs can also easily get caught.

For example :

Your company wants to sell factory land, office, warehouse or shoplot
Your group holds property through a company structure
You are doing internal restructuring, shareholder exit, or family succession planning

What you sell looks like shares, but the company behind those shares is actually a real property company

In all these situations, the tax treatment cannot just depend on feeling.

Very often, the problem starts like this:

Price already agreed
Lawyer already drafts the agreement
Accounts only handles later
Then halfway through, only realise the tax regime was placed wrongly from the beginning

At KTP, our view is simple.

For many clients, the real risk is not always intentional tax non-compliance.

More often, it is misunderstanding from the start.
So before you ask, “Is this transaction taxable?”

You should first ask:
“What exactly is the asset I am disposing of?”

Once this question is answered correctly, the tax analysis will be much clearer.
If your company is planning to dispose of property, transfer shares, or do restructuring, it is better to clarify CGT and RPGT properly first.

Sometimes, the expensive part is not the tax.
It is the cost of getting the classification wrong.
