Latest IRB Guideline : Closing Company
Open company, 1 day settle.
Close company? Some boss wait n years also cannot.
Every year got boss come to my office with the same line.
“Business stop already. Just help me close the company lah. Simple one right?”

Not simple, boss.
SSM won’t let your company go until LHDN says OK.
LHDN only says OK when it gives you one letter : the Tax Clearance Letter, or SPC.
No SPC, no dissolution. Full stop.
On 20 October 2026, LHDN issued a new guideline, GPO 3/2026.
It sets the rules for how companies, LLPs and Labuan entities apply for SPC.
Officially, LHDN promises the SPC within 14 working days.
But only if ALL 5 of these are clean:
- Application form and documents complete
- Form C and Form E filed up to the latest year, even if your company is dormant
- No open tax audit
- No compound or court case
- Zero tax balance
Miss one, and the 14 days don’t apply. Your company just sits there waiting.
The cases I keep seeing go like this.
The “dormant” company that is not dormant.
Boss says the company has done nothing for 3 years. Then I open the accounts and there’s a shophouse inside, or a fixed deposit earning interest.
Under the new guideline, holding property, shares or FD means the company is NOT dormant.
It’s still a taxpayer, so all the returns still need to be filed.
The staff paid off first, CP22A remembered later.
Business close, everybody resign, final salary and compensation paid in full. Then only remember : you never submit CP22A to LHDN.
The law says you must hold the money for 90 days after notifying LHDN. Money already gone, so now got a compliance gap on file, right when you apply for clearance.
The small balance that blocks everything.
Liquidation almost finish, then LHDN says there’s still a CP204 balance from 2 years ago. Not big. But the ledger must be zero, so everything stops until it’s paid.
The “got SPC, finish already” mistake.
The guideline says you still must file returns until the company is fully dissolved, then apply to close the tax file. Forget this step, and a company that no longer exists still has filing obligations on record.
So my advice to every SME boss:
Start cleaning up tax 6 to 12 months BEFORE you plan to close. Not after.
Closing a company properly is not admin work. It’s your last compliance test. Pass it clean, and you protect yourself as director long after the signboard comes down.
Planning to wind up, strike off, merge or convert to LLP?
Comment “SPC” or PM me before you file anything with SSM.
