Your SME May Not Have a Tax Problem.
You May Have a Document Problem.
Sales signed one agreement.
Procurement signed one vendor contract.
HR signed one employment related document.
Operations signed one warehouse rental.
Director signed one shareholder advance.

Everybody signed.
Nobody stamped.
Then the documents disappeared.
Three years later, when bank, investor, auditor, lawyer, tax agent, or LHDN asks for stamped copy, the whole office suddenly becomes crime scene investigation.
“Where is the agreement ah?”
“Who signed this?”
“Got stamp or not?”
“Can find back the PDF?”
This is how many SMEs get into stamp duty trouble.
Many SME bosses still think stamp duty is only for property, bank loan, or lawyer work.
Actually, stamp duty is more scary than that.
Because stamp duty is not about profit.
It is about documents.
You sign agreement, rental, service contract, distribution letter, shareholder advance, intercompany loan, addendum, or renewal letter, stamp duty issue may already be sitting quietly inside your company file.
The painful part?
Most of the time, the duty itself is not the killer.
The penalty is.
One document maybe only, in general, RM10 duty.
But if your company has 200 documents over 3 years, and all never stamp properly, suddenly this is no longer a small matter.
This is how small paperwork becomes big headache.
Now there is one final window.
IRBM has introduced the Stamp Duty Voluntary Disclosure Programme.
For instruments signed from 1 January 2023 to 31 December 2025, SMEs can clean up late stamping issues with full penalty waiver.
The deadline is 30 June 2026.
And this deadline is not just for submission.
Payment must also be completed by 30 June 2026.
This is where many SMEs may still make mistake.
They think, “Still got time. Two weeks till 30 June 2026!”
You need to collect documents from sales, procurement, HR, operations, and management.
You need to check signing dates.
You need to know whether it was stamped before.
You need to submit through MyTax.
You need to wait for assessment.
You need to pay.
It is a governance test.
If your company cannot produce a proper list of signed agreements for the last 3 years, stamp duty may only be the first problem.
The bigger problem is contract control.
This is an opportunity.
Because penalty waiver windows do not come every day.
But it is also a warning.
SMEs cannot continue with the old style:
“Sign first, file later, stamp when people ask.”
That era is ending.
Before 30 June 2026, clean up the past.
After that, build a simple SOP.
Every new agreement must be checked for stamp duty when signed.
Every stamped copy must be saved properly.
Every department must know who to send the signed documents to.
